1. About these Terms

These Terms & Conditions ("Terms") govern your access to and use of the All Spaces AI website, mobile applications and related services (together, the "Platform").

By creating an account, accessing or using the Platform or making a booking, you agree to these Terms. Please read them carefully before making a booking. Our Privacy Policy also applies to your use of the Platform.

2. What All Spaces AI does

All Spaces AI is an AI-powered marketplace and orchestration platform designed to help users discover, compare, combine and book spaces and services provided by participating hotels, workspaces, restaurants, wellness providers and other Venue Partners.

The Platform may provide:

  • Static search and filtering

  • AI-powered intent search

  • Personalised recommendations

  • Bundled spaces and services

  • Availability and pricing information

  • Booking and payment functionality

  • Booking confirmations

  • QR or other access functionality

  • Check-in and check-out support

  • Reviews and feedback

  • Other related marketplace services

Features may change or be introduced progressively.

3. Our role and the Venue Partner's role

All Spaces AI provides the technology, discovery, matching, booking and marketplace layer. Venue Partners retain operational responsibility for their own properties and physical spaces, inventory, availability, pricing and service rules, licences and regulatory requirements, service fulfilment, staffing, health and safety, customer treatment and partner-created content. Unless we expressly state otherwise during booking, the underlying service you book is supplied by the relevant Venue Partner. All Spaces AI facilitates the discovery and transaction and may process or arrange payment, booking communications and access functionality. Separate commercial agreements apply to Venue Partners and Enterprise Customers using the Platform in a business capacity.

4. Eligibility and accounts

You must have the legal capacity to enter into a binding contract to create bookings through the Platform. Where a Venue Partner or particular service has an age restriction, you must meet that requirement. When creating an account, you must provide accurate, current and complete information.

You are responsible for:

  • Keeping your login credentials secure

  • Activity occurring through your account

  • Keeping your contact information up to date

  • Notifying us promptly if you believe your account has been compromised

You must not impersonate another person, create misleading accounts or use another person's account without permission.

5. Search and AI-powered recommendations

The Platform may allow you to describe what you want using natural language, voice or other search tools. Our AI may interpret factors such as your stated intent, location, date and time, number of guests, budget, preferences, available inventory, Venue Partner rules, pricing and previous interactions with the Platform. The Platform may then rank, recommend or bundle relevant spaces and services. AI recommendations are intended to assist you and may not always be complete, accurate or suitable for every circumstance. Before completing a booking, you are responsible for reviewing the final Venue Partner, service, location, date, time, number of guests, inclusions, exclusions, price, cancellation conditions and other material booking information. The booking details presented at confirmation take precedence over any earlier AI-generated description where there is an inconsistency. The Platform does not provide medical, legal, financial or other regulated professional advice.

6. Availability and Venue Partner information

Venue Partners are responsible for providing accurate information about their inventory, services, prices, availability and applicable rules. We take reasonable steps to present information accurately, but availability may change. A service appearing in search results does not guarantee that it will remain available until the booking has been confirmed. Images, descriptions, amenities, opening hours and other Venue Partner information may be supplied by the Venue Partner or other autrised sources.

7. Prices

Prices shown on the Platform will be displayed before you confirm a booking. The final checkout should identify the total amount payable and any material mandatory charges that apply to the booking.

Prices may vary according to:

  • Service

  • Location

  • Availability

  • Date or time

  • Number of guests

  • Bundle

  • Promotion

  • Demand

  • Venue Partner pricing rules

We may offer promotions, incentives, subsidies or bundled prices from time to time. Unless clearly stated otherwise, promotional prices do not create an entitlement to the same price for future bookings.

8. Making a booking

To make a booking, you will normally:

  1. Search or describe what you want.

  2. Select a service, space or bundle.

  3. Review the booking details.

  4. Provide any necessary customer information.

  5. Review the final price and applicable conditions.

  6. Complete payment where required.

  7. Receive a booking confirmation.

A booking becomes confirmed when the Platform issues a booking confirmation, subject to any clearly disclosed Venue Partner requirements. A bundle may contain more than one space or service while being presented as a single booking journey. Your confirmation may include a booking reference, QR code or other access credential. You should check the confirmation promptly and contact us if you identify an error.

9. Payments

Payments made through the Platform are processed by Stripe. Stripe acts as the payment processor and merchant of record for transactions processed through the Platform.

Stripe collects and processes payment for the amount displayed at checkout in accordance with the transaction structure shown during the booking process. You authorise Stripe to charge the payment method you select for the amount displayed at checkout. You must use a valid payment method that you are authorised to use. If payment cannot be authorised, the booking may not be completed. Complete payment-card credentials are handled directly by Stripe and are not normally received or stored by All Spaces AI.

10. Booking confirmations and QR access

Where a booking includes QR or other digital access functionality, the credential is intended for the person or booking for which it was issued.

You must not:

  • Fraudulently duplicate an access credential

  • Sell or transfer it where transfer is prohibited

  • Manipulate it

  • Use an expired or cancelled credential

  • Attempt unauthorised access to a Venue Partner's facilities

The Venue Partner or concierge may ask for reasonable identification before admitting you or completing check-in.

11. Cancellations, amendments and refunds

Cancellation and amendment conditions may differ between Venue Partners, services and bookings. The applicable cancellation terms should be shown to you before booking or included in your booking confirmation.

Depending on the booking, cancellation may result in:

  • A full refund

  • A partial refund

  • A credit

  • An amendment

  • A cancellation charge

  • No refund

Nothing in these Terms removes any statutory consumer rights that cannot legally be excluded. Certain bookings for accommodation, catering or leisure services provided on a specific date or during a specific period may not carry the general statutory 14-day cancellation right that applies to some other distance contracts. Where a Venue Partner cancels a confirmed booking and cannot provide a reasonable alternative, you will normally be entitled to an appropriate refund of amounts paid for the cancelled service. Refunds will normally be returned using the original payment method and may be subject to processing times imposed by payment providers or banks.

12. Late arrival and no-shows

Venue Partners may impose rules concerning arrival times, late arrival, booking duration, check-in, check-out and no-shows. Where a no-show or late cancellation charge applies, it should be disclosed as part of the booking conditions. Failure to attend does not automatically create a right to a refund.

13. Venue rules and service fulfilment

When attending a Venue Partner location, you must comply with reasonable venue rules relating to security, conduct, identification, dress requirements, health and safety, age restrictions, opening hours, maximum occupancy, equipment use and access to restricted areas. Venue Partners remain responsible for delivering the underlying service and complying with laws applicable to their business and premises. If you experience a problem with a service, please raise it promptly with the Venue Partner and, where appropriate, through All Spaces AI support.

14. User responsibilities

You agree to:

  • Provide accurate information

  • Use the Platform lawfully

  • Treat Venue Partners, staff and other users appropriately

  • Attend bookings responsibly

  • Comply with booking and venue rules

  • Pay all properly disclosed charges

  • Use QR and access credentials only as authorised

  • Provide truthful reviews and feedback

You must not use the Platform for fraudulent, abusive, threatening, unlawful or harmful purposes.

15. Reviews and ratings

The Platform may allow users to provide reviews, ratings and feedback.

Reviews must:

  • Reflect a genuine experience or opinion

  • Not be fake or misleading

  • Not impersonate another person

  • Not contain unlawful, defamatory, threatening or abusive material

  • Not infringe another person's intellectual-property or privacy rights

  • Clearly disclose any material incentive where disclosure is required

We may use reasonable and proportionate measures to detect, reject, investigate, label or remove reviews that breach these Terms or applicable law. We do not guarantee that every review submitted will be published.

16. User content

If you submit reviews, photographs, comments, feedback or other content to the Platform, you retain ownership of content that belongs to you. You grant All Spaces AI a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, format and use that content to operate, promote and improve the Platform, subject to applicable privacy and other laws. You confirm that you have the necessary rights to submit the content. This licence ends where appropriate when the content is deleted, except where continued use is reasonably necessary for legal, security, backup or already-published operational purposes.

17. All Spaces AI intellectual property

All Spaces AI and its licensors retain all rights in the Platform and its proprietary technology, including, where applicable:

  • Software and source code

  • Applications and interfaces

  • Designs and brands

  • Trade marks and documentation

  • AI systems and algorithms

  • Matching and ranking systems

  • Orchestration systems

  • Data models

  • Proprietary workflows

  • Marketplace architecture

  • Aggregated marketplace intelligence

  • Other intellectual property

Using the Platform does not transfer ownership of these rights to you. You receive a limited, personal, non-exclusive, non-transferable and revocable right to use the Platform for its intended purpose in accordance with these Terms.

18. Marketplace and aggregated intelligence

Venue Partners retain rights in their physical assets, inventory, pricing, operational systems and partner-created content. Users retain their legal rights in relation to personal data. All Spaces AI may create aggregated, anonymised or otherwise lawfully derived marketplace information from Platform activity. This may be used to improve search and matching, understand demand, improve bundles, measure utilisation, improve product performance, develop Platform technology, produce aggregated analytics and support marketplace and commercial intelligence. We do not sell identifiable personal data as a standalone commercial product.

19. Acceptable use

You must not:

  • Attempt unauthorised access to the Platform or another user's account

  • Interfere with security controls

  • Scrape or extract Platform data on a material scale without permission

  • Reverse engineer the Platform except where the law expressly permits it

  • Misuse APIs

  • Introduce malware or malicious code

  • Manipulate availability, pricing, reviews or bookings

  • Commit payment fraud

  • Submit false or fraudulent reviews

  • Abuse AI functionality

  • Use automated tools to overload the Platform

  • Infringe intellectual-property rights

  • Use the Platform for unlawful activity

20. Promotions and incentives

Promotions, vouchers, credits, complimentary services and other incentives may be subject to additional terms.

Unless otherwise stated:

  • They have no cash value

  • They cannot be duplicated

  • They may be subject to availability

  • They may have an expiry date

  • They may be limited to particular users or Venue Partners

  • We may withdraw or correct a promotion where there has been fraud, abuse or an obvious error

21. Third-party services

The Platform uses third-party services including Stripe for payment processing and merchant-of-record services, and Amazon Web Services (AWS) for cloud hosting, AI infrastructure and related technical services. The Platform may also integrate with maps, authentication, communications and other technology providers as required. Those services may be governed by their own terms and privacy notices. All Spaces AI is not responsible for independent third-party services outside our reasonable control, except where applicable law provides otherwise.

22. Platform availability

We aim to provide a reliable Platform but do not guarantee uninterrupted or error-free availability.

We may need to suspend or restrict access for:

  • Maintenance

  • Upgrades

  • Cybersecurity

  • Emergency repairs

  • Legal requirements

  • Supplier outages

  • Other operational reasons

Where reasonably possible, we will seek to minimise disruption.

23. Suspending or closing accounts

We may suspend, restrict or close an account where reasonably necessary because of:

  • Suspected fraud

  • Security concerns

  • Serious or repeated breach of these Terms

  • Abusive or unlawful conduct

  • Misuse of the Platform

  • Payment problems

  • Legal or regulatory requirements

  • Risk to users, Venue Partners or the Platform

Where appropriate and lawful, we will seek to provide reasonable information about the action taken. Closing an account does not automatically cancel existing contractual, payment or legal obligations.

24. Your right to stop using the Platform

You can stop using the Platform at any time. You may delete your account directly using the in-app Delete Account function, or request deletion by contacting contact@allspacesai.com. Existing bookings, payments, refunds and legally required transaction records may still need to be completed or retained.

25. Our responsibility to you

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for:

  • Death or personal injury caused by negligence

  • Fraud or fraudulent misrepresentation

  • Statutory consumer rights that cannot be excluded

Where a Venue Partner is the supplier of the underlying service, the Venue Partner is primarily responsible for the quality, safety and fulfilment of that service. All Spaces AI remains responsible for obligations that the law places directly on us. We are not responsible for losses caused by information, events or circumstances outside our reasonable control where we have acted with reasonable care. If you are using the Platform as a consumer, we are not responsible for business losses, loss of profit, loss of business opportunity or other losses arising from commercial use of the Platform. Nothing in these Terms affects rights you have under applicable consumer law.

26. Events outside reasonable control

Neither All Spaces AI nor a Venue Partner will be responsible for failure or delay caused by events genuinely outside reasonable control, subject to your statutory rights.

These events may include:

  • Extreme weather

  • Natural disasters

  • Government restrictions

  • Serious infrastructure failures

  • Major cyber incidents

  • Transport disruption

  • Strikes

  • Emergencies

  • Other comparable events

Where such an event affects a booking, we will work with the relevant Venue Partner to determine the appropriate cancellation, alternative or refund outcome.

27. Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Platform, you acknowledge that you have been provided with access to that Privacy Policy. Marketing consent, where required, is requested separately and is not a condition of accepting these Terms unless the communication is necessary to provide the service.

28. App stores

If you download the All Spaces AI app through the Apple App Store, Google Play or another authorised app store, the relevant app-store rules and licence terms may also apply to your use of the software. The app store provider is not the supplier of Venue Partner services booked through All Spaces AI.Where an app-store term conflicts with these Terms in relation to distribution or licensing of the app, applicable mandatory app-store terms may also apply.

29. Changes to these Terms

We may update these Terms as the Platform, our services or applicable law changes.The latest version will be published on the Platform and will show the date of the most recent update. Where a change materially affects existing users or rights, we will take reasonable steps to provide notice before the change takes effect where required. Changes will not retrospectively alter a confirmed booking unless permitted by law or agreed with you.

30. If part of these Terms is invalid

If a court or competent authority finds part of these Terms unlawful or unenforceable, the remaining provisions will continue to apply.

31. No waiver

If we delay exercising a right under these Terms, that does not mean we have waived that right.

32. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. If you are a consumer living elsewhere in the United Kingdom, you continue to benefit from any mandatory consumer protections applicable where you live and may have the right to bring proceedings in your local courts. Nothing in these Terms removes mandatory rights that apply under the law of your country of residence where those rights cannot lawfully be excluded.

33. Complaints and support

If you have a complaint about All Spaces AI or a booking made through the Platform, please contact contact@allspacesai.com. Please provide the relevant booking reference and enough information for us to investigate. Where the complaint concerns fulfilment by a Venue Partner, we may work with that Venue Partner to resolve the matter.
